Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "user") and Quloq ("we", "our", "us"). By downloading, installing, or using the Quloq mobile application ("App"), you agree to be bound by these Terms. If you do not agree, do not use the App.

You must be at least 13 years old to use Quloq. By using the App, you represent that you meet this age requirement. If you are between 13 and 18, you represent that your parent or guardian has reviewed and agreed to these Terms on your behalf.

2. Changes to Terms

We may update these Terms at any time. When we make material changes, we will update the "Last Updated" date. Your continued use of the App after changes are posted constitutes acceptance of the updated Terms. If you disagree with updated Terms, your sole remedy is to stop using the App and delete your account.

3. Your Account

To use Quloq, you must create an account using a valid email address, Apple ID, or Google account. You are responsible for:

  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access at support@quloq.com

You may not create accounts on behalf of others without their authorization. We reserve the right to terminate accounts that we reasonably believe have been compromised or are being misused.

4. Your Content

You retain full ownership of all content you create in Quloq, including study sets, questions, answers, images, and voice recordings ("Your Content"). By uploading content to the App, you grant us a limited, non-exclusive, royalty-free license to store, transmit, and process Your Content solely to provide the App's features to you. We do not claim ownership of Your Content and do not share it with third parties except as disclosed in our Privacy Policy.

You are solely responsible for ensuring Your Content does not infringe on the intellectual property rights of others (e.g., do not copy protected textbooks verbatim without authorization). We are not liable for any claims arising from Your Content.

5. Acceptable Use

You agree to use Quloq only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Upload, transmit, or store content that is illegal, harmful, abusive, defamatory, obscene, or discriminatory
  • Infringe on the intellectual property, privacy, or publicity rights of any third party
  • Attempt to gain unauthorized access to any part of the App, our servers, or any connected systems
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
  • Use the App to transmit malware, spam, or other malicious content
  • Circumvent, disable, or interfere with security-related features of the App
  • Use automated tools, bots, or scrapers to access the App or its data
  • Impersonate any person or entity
  • Use AI-generated exam evaluations for any purpose that requires official academic or professional certification

We reserve the right to remove content and suspend or permanently terminate accounts that violate these guidelines, at our sole discretion and without prior notice.

6. Subscriptions and Billing

6.1 Free and Premium Tiers

Quloq offers a free tier with core flashcard functionality and a premium subscription ("Quloq Premium") that unlocks additional features including Audio Mode, Voice Recording, AI-Graded Exam Mode, Offline Downloads, AI Voice, Smart Import, Scan Notes, and Daily Study Snippets. The specific features included in each tier may change over time at our discretion.

6.2 Subscription Plans

Quloq Premium is available as a monthly or annual subscription. Current pricing is displayed in the App at the time of purchase. Prices may vary by region and are subject to change.

6.3 Free Trial

New subscribers may be eligible for a free introductory trial period for the annual plan. The trial period and eligibility are displayed in the App at the time of purchase. A valid payment method is required to start a trial. You will not be charged during the trial period. If you do not cancel at least 24 hours before the trial ends, your subscription will automatically begin and your payment method will be charged.

6.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current price unless you cancel at least 24 hours before the renewal date. Your payment method on file with Apple will be charged at the start of each renewal period.

6.5 Managing and Cancelling Your Subscription

Subscriptions are managed through Apple. To cancel or modify your subscription:

  1. Open iPhone Settings
  2. Tap your name at the top
  3. Tap Subscriptions
  4. Select Quloq and choose your option

Cancellation takes effect at the end of the current billing period. You will retain access to premium features until that date.

6.6 What Happens When a Subscription Lapses

If your subscription ends or is cancelled, your account reverts to the free tier. All premium features become inaccessible. Your study data (study sets, questions, progress) remains intact and will be accessible again if you resubscribe.

6.7 Refunds

All purchases are processed by Apple. Refund requests are handled by Apple under their standard App Store refund policy. We do not control refund eligibility. To request a refund, visit reportaproblem.apple.com.

6.8 Price Changes

We may change subscription prices at any time. If we increase the price of your current subscription plan, Apple will notify you before your next renewal and require your confirmation to continue.

7. AI Features — Important Disclaimer

Quloq uses artificial intelligence in several features. By using these features, you acknowledge and agree to the following:

7.1 AI Exam Grading (Exam Mode)

  • Your spoken exam answers are transcribed and evaluated by Anthropic's Claude AI model
  • AI evaluations are provided for study assistance only and are not guaranteed to be accurate, complete, or appropriate for any particular subject
  • You must not use AI exam evaluations as a substitute for official academic grading, professional certification, or any assessment with real-world consequences
  • We are not liable for decisions made based on AI evaluation results

7.2 AI Voice (Text-to-Speech)

  • When AI Voice is enabled, your flashcard text is processed by Google Cloud Text-to-Speech
  • Synthetic voice quality and pronunciation accuracy are not guaranteed
  • Audio output should not be relied upon for pronunciation training in high-stakes contexts

7.3 Smart Import and Scan Notes

  • AI extraction of content from documents or photos may produce errors, omissions, or misinterpretations
  • Always review and verify imported content before use in study sessions

7.4 Data Processing Consent

By using AI features, you consent to the transmission of relevant content (flashcard text, spoken answer transcriptions, document/photo content) to third-party AI service providers as described in our Privacy Policy. You can withdraw this consent at any time by disabling AI features in Settings.

8. Third-Party Services

Quloq integrates with third-party services including Firebase (Google), Google Cloud, Anthropic, Google Sign In, and Apple. Your use of these services through Quloq is also governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of these third-party services.

9. App Store

Quloq is distributed through the Apple App Store. Apple Inc. is not a party to these Terms and bears no responsibility for the App or its content. Any claims relating to the App (including product liability, legal compliance, and consumer protection) are the sole responsibility of Quloq's developer. Apple and its subsidiaries are third-party beneficiaries of these Terms solely for the purpose of the App Store terms.

10. Intellectual Property

The Quloq name, logo, app design, code, and all original content (excluding Your Content) are the intellectual property of Quloq and are protected by copyright, trademark, and other applicable laws. You may not reproduce, distribute, modify, or create derivative works of any part of the App without our prior written consent.

11. App Availability and "As Is" Disclaimer

Quloq is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that:

  • The App will be available at all times or free from errors
  • AI evaluations, voice synthesis, or content imports will be accurate
  • Your data will never be lost (though we take reasonable precautions)
  • The App will meet your specific educational or professional requirements

We may modify, suspend, or discontinue the App or any feature at any time without notice. We are not liable for any loss resulting from such changes.

12. Force Majeure

We are not liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, infrastructure outages, third-party service failures (including Firebase, Apple, Google, or Anthropic outages), pandemics, or other events of force majeure.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Quloq and its developer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, loss of study progress, or loss of access, arising from your use of or inability to use the App, even if we have been advised of the possibility of such damages.

Our total cumulative liability for any and all claims related to the App shall not exceed the total amount you paid for the App in the 12 months prior to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Quloq and its developer from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the App; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party right.

15. Termination

You may delete your account at any time through Settings → Delete Account. Upon deletion, your right to use the App ends immediately and your data is permanently deleted as described in our Privacy Policy.

We may suspend or permanently terminate your access without notice if you violate these Terms, engage in fraudulent activity, or if we are legally required to do so. If your account is terminated for cause, you forfeit any remaining subscription period without refund.

16. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

Most concerns can be resolved by contacting us at support@quloq.com. We will work with you in good faith to resolve any issue.

If a dispute cannot be resolved informally, you and Quloq agree that any claim arising from or relating to these Terms or the App shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. Arbitration will be conducted in California, or by video/phone if you prefer.

Class Action Waiver: You and Quloq each waive the right to participate in a class action lawsuit or class-wide arbitration. Claims must be brought on an individual basis only.

Exceptions: Either party may seek injunctive or other equitable relief in court for matters involving intellectual property infringement or unauthorized access.

If you are a consumer in the EU or a jurisdiction where mandatory consumer protection laws apply, those laws may override the arbitration clause above.

17. Governing Law

These Terms are governed by the laws of the State of California and the United States, without regard to conflict of law principles. Subject to the arbitration clause above, any legal action must be brought in the state or federal courts located in California. You consent to personal jurisdiction in such courts.

18. Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Quloq regarding your use of the App and supersede any prior agreements.
